Frequently asked questions

How big does an insider sale have to be to appear here?

There are two floors, not one. Any sale of $500k or more by an individual officer or director is included whatever kind it is. Below that, a sale has to earn its place by being discretionary: it is included down to $50k, but only when the insider had no prearranged Rule 10b5-1 plan and it was not automatic tax withholding. A single flat floor was wrong in both directions, too high to catch a meaningful sale at a small company and too low to filter the noise at a giant one, so the lower tier widens the net for smaller names without opening the routine-plan firehose. That is why you will see sales well under $500k on this page, and why the ones that small are almost always labeled Own call.

What is a sell-to-cover, and why isn't it a real sale?

When a stock grant vests, the recipient owes income tax on the value of the shares that day. Companies usually settle that by selling just enough of the newly issued shares to cover the bill and handing over the rest, which is called a sell-to-cover. It arrives on a Form 4 with the same transaction code as a genuine sale, but the executive chose neither the size nor the timing, and they almost always finish the day owning more stock than they started with rather than less. Those rows are labeled Tax withholding here rather than being hidden, so you can see the difference instead of taking our word for it.

Why are funds and investment firms excluded from the sell list?

Because a fund selling is a portfolio decision, not an insider signal. A 10% owner such as a venture firm or a private equity holder files the same Form 4 as an executive, but its selling is usually driven by fund life cycles, distributions to its own investors, or lockup expiry, none of which say anything about how the business is performing. The people worth watching are the officers and directors who work at the company.

How do I check whether insiders have been selling a particular stock?

Use the search box at the top of this page and enter the ticker. It filters the table to that company across everything on record rather than just the recent window, and the resulting URL can be bookmarked or shared. If nothing comes back, no sale meeting either size threshold has been filed for that symbol, or the company is not on our watchlist. It is also worth checking the notices page, because a Form 144 is filed before a sale and will show up days before the Form 4 does.

Does a large insider sell mean bad news is coming?

Usually not, and the label on each row is there to help you tell the difference.
