- JYP Entertainment says NEXROC's takeover email was blocked as spam
- Korea's FSS says it had no contact with NEXROC, despite NEXROC's claim
- NEXROC SVCV's SEC filing reports $50 million sold and zero investors
On October 29, JYP Entertainment (035900) said the email The NEXROC Group says it sent about buying a stake never reached the company. JYP's mail system had blocked it as spam. It was JYP's second denial in three days, and like the first one, it was filed as a clarification disclosure with the Korea Exchange.
"Since our October 27 disclosure saying we hadn't received any proposal about acquiring a stake in the company, we still haven't received or reviewed any officially valid proposal," JYP said, JoongAng Ilbo (중앙일보) reported.
"The email NEXROC says it sent us didn't meet the sender-trust standards in our security policy, so it was classified as 'blatant spam,'" the company continued. "Our email service provider confirmed it was blocked outright and never reached us."
Earlier that day, NEXROC said it had told JYP about its negotiation plans by email on October 21. It also said it had explained the matter to Korea's Financial Supervisory Service. The FSS said it hasn't had any contact with NEXROC, Herald Economy (헤럴드경제) reported. NEXROC said its press release was meant only to show interest, and that it hadn't expected it to be checked so closely.
The shares rose as high as 43,200 won ($32.24) during the October 29 session, then closed down 2.87% at 38,900 won ($29.03). That's still 8.06% above the October 26 close of 36,000 won ($26.87), just before NEXROC's plan came out, by our calculations.
NEXROC and its affiliate SVCV said on October 26 that they want to buy 25% to 50% of the K-pop agency through a tender offer starting November 20, at about a 30% premium. Founder Park Jin-young and related parties own 15.82% of JYP.
The FSS called the announcement very unusual
On October 27, the FSS said it's been watching trading in JYP since the announcement.
"We're watching the situation closely," an FSS official told News1 (뉴스1). "We'll look at several things, such as how much trading volume increased and how many accounts made a profit."
The FSS is also checking whether profitable accounts are connected to the companies behind the announcement. News1 reported that regulators would decide later whether to open a formal investigation.
Later on October 27, the FSS put out a notice warning investors. "It's very unusual to publicly state an intention to make a tender offer by sending out a press release before filing a tender offer statement," the notice said, according to Money Today (머니투데이). The FSS said it would start an investigation right away if it suspected unfair trading.
"Without a tender offer statement, it's hard to confirm information about the buyer and its money, and there's also a chance the deal won't happen," an FSS official said. "Investors should be careful about the risk of losses from changes in the stock price."
Our check of JYP-related filings on DART, Korea's corporate disclosure system, early on October 30 in Seoul found no tender offer statement from NEXROC. The only filings since the announcement were JYP's own two clarifications. Under Korea's Financial Investment Services and Capital Markets Act, a tender offer is normally announced on the same day the buyer files that statement. NEXROC announced its plan almost a month ahead, with no filing.
"Japan and Korea have almost the same tender offer rules, so it doesn't seem likely they announced the plan without knowing the procedure," a financial investment industry official told News1. "If someone spread false information on purpose to push up the stock price and make an unfair profit, that could be unfair trading, such as market manipulation."
The SEC filing reports $50 million sold and 0 investors
On October 20, a company called NEXROC SVCV, Inc. filed a Form D with the US Securities and Exchange Commission. A Form D is a short notice a company files when it sells securities privately without registering them. The SEC doesn't review it before it's posted.
The filing lists the company's former names as The NEXROC Group and SVCV, Inc. It describes a $50 million offering of debt and options, with a minimum investment of $5 million. The filing reports all $50 million as sold but lists zero investors. It doesn't explain that inconsistency, and the disclosure alone doesn't establish that funds are available for the proposed JYP purchase.
The filing puts the company's yearly revenue between $1 million and $5 million, which is about 1.3 billion to 6.7 billion won. At the October 26 close, a 30% premium would mean 46,800 won ($34.93) a share. News1 calculated that buying 25% of JYP at that price would cost about 415.7 billion won ($310.2M), and buying 50% about 831.5 billion won ($620.5M).
An earlier Form D, filed on September 18 under the name SVCV Group Inc, shows the same pattern, with a $25 million offering, all sold, and 0 investors. None of the company's 15 SEC filings this year is a tender offer filing.
Reporters couldn't confirm NEXROC's Japan ties
NEXROC calls itself a Japanese financial company, but Money Today couldn't find it in the records of Japan's National Tax Agency or its Financial Services Agency. The paper also reported that a Delaware company it described as NEXROC's legal parent lost its standing there in October 2025. The October Form D lists NEXROC SVCV as a New York company, and it isn't clear whether the two are the same.
JYP also isn't NEXROC's first announcement. On October 13, Insurance Business reported that NEXROC planned to bid for two unnamed listed life insurers, one in Australia and one in the US, by November 10.
We wrote about NEXROC's JYP announcement and JYP's first response on October 27. K-pop's four biggest agencies were all down more than half from their highs in August.
Meanwhile, NEXROC's target start date for the JYP tender offer is still November 20, ten days after its own target date for the two insurers.
