Filed notices to sell

A Form 144 is filed before a sale, so these land two to four days ahead of insider selling and name a dollar figure up front.

These are intentions, not completed trades. A notice can be for more shares than the insider ends up selling, and some are never acted on at all, which is why every row shows whether the sale has actually been reported yet. "Routine" here means the notice names a Rule 10b5-1 plan adoption date, the filer's own statement that the sale was scheduled in advance. Notices with no plan date are the insider's own call. Unmatched notices are dropped after 90 days, the life of a Rule 144 notice.

One limit worth knowing about the Type column. A Form 144 has no field for tax withholding, so while a notice is still unreported the only thing we can read off it is whether it names a Rule 10b5-1 plan. That means a sell-to-cover on a vesting grant looks like the insider's own call until the Form 4 arrives. Once it does, we take the type from that filing instead and mark the row per Form 4, so an Executed row showing Tax withholding was a routine tax sale no matter what the notice implied.

Once a notice turns into a reported trade it appears on insider selling. For the other side of the ledger, see insider buying, or run a name through our stock scorer.

Type — did they choose it?
No decision tax on a vestRoutine scheduled planWorth a look own callRed flag own call, large
Impact — how big?
$250k $2M $10M $50M $50M+ or 1% of the company

Dollars or share of market cap, whichever is higher, so $1M at a small company outranks $1M at Nvidia. An own-call sale adds one block, a red flag adds two. Scheduled plan trades top out at two blocks and tax withholding at one, since nobody decided anything on the day. Red means big, not bearish. Hover any row for the detail.

This is public disclosure data, not investment advice. Filings can be amended, and neither buying nor selling is a prediction. Always do your own research and consider speaking with a licensed financial professional before making any investment decision.

Frequently asked questions

What is a Form 144, and why does it show up before the sale?

A Form 144 is a notice an insider files with the SEC before selling restricted or control stock. The Form 4 that reports the completed trade isn't due until two business days after the sale happens, so the notice usually appears two to four days earlier and it states an aggregate dollar value that the Form 4 never gives directly. The catch is that a notice is an intention, not a transaction: the insider can sell fewer shares than the notice covers, or not sell at all. That's why these are kept on their own page and marked with whether the sale has actually been reported yet, rather than folded in with completed trades.

What does "Not yet reported" mean on a notice?

It means the notice has been filed but no matching Form 4 has arrived yet, so as far as the public record goes the sale has not happened. That is the normal state for a fresh notice, since the Form 4 is not due until two business days after the trade and the trade itself may be days away. When the matching Form 4 does land, the row switches to Executed and shows the share count and approximate price actually transacted, which is often smaller than the notice covered.

Why do some notices disappear from this page?

A Rule 144 notice is good for 90 days. If no matching sale has been reported by the time that window closes, the notice is dropped rather than left on the page, because an unexercised intention is noise and leaving it up would imply a sale that never happened. Notices that were matched to a completed Form 4 stay, marked Executed.

What makes a notice "Routine" rather than "Own call"?

Whether the form names a Rule 10b5-1 plan adoption date. That date is the filer's own statement that the sale was scheduled in advance, under a plan set up before they could act on any current information, so we label it Routine and show the adoption date on the row. A notice with no plan date is the insider's own call. This is a different mechanism from the 10b5-1 checkbox on a Form 4, but it carries the same meaning.

Why can the type on a notice change after the sale is reported?

Because a Form 144 cannot disclose everything the Form 4 can. The notice has no field for tax withholding, so a sell-to-cover on a vesting grant, where the company sells just enough shares to pay the tax and the insider picks neither the size nor the timing, carries no plan date and initially reads as the insider's own call. When the matching Form 4 arrives it says plainly that the sale was tax withholding, and we then take the type from that filing and mark the row "per Form 4". Rows still showing "Not yet reported" are labeled from the notice alone and should be treated as provisional.

Can I check whether a specific company has a notice on file?

Yes, use the search box at the top of this page. Entering a ticker filters the table to that company across every notice on record. This is the page worth checking first if you are trying to get ahead of a sale, because a Form 144 is filed before the trade while the Form 4 on the selling page arrives after it. A notice here with a status of "Not yet reported" means the sale has been declared but has not shown up in the completed-trade record.

Why does the notice give a dollar value when a Form 4 doesn't?

Because the two forms ask for different things. A Form 144 states an aggregate market value for the shares the insider proposes to sell, which is the number the SEC uses to check the trade against Rule 144's volume limits. A Form 4 reports share counts and a price per share for each transaction line, and leaves the total to the reader. That makes the notice the earlier signal and the cleaner headline figure, which is exactly why it is worth watching separately from the completed trades on the main tracker.
