Digi Power X (DGXX) Chairman and CEO Michel Amar bought 20,000 shares on Aug. 19 at a weighted average of $3.60, spending about $72,000. His Form 4, filed the next day, leaves the Rule 10b5-1 box unchecked. He picked the day himself.
He bought into a slide. DGXX had closed at $4.13 on Aug. 13 and $3.58 on Aug. 19, a drop of about 13% across four sessions that included the company's second-quarter earnings report.

Digi Power X reported second-quarter results on Aug. 14, and the stock fell for three straight sessions afterward. Amar bought on the fourth day, with the close pinned at $3.58 for a second session in a row. The next day, DGXX's last regular-session trade printed at $3.92, its best session in weeks.
What the Form 4 shows
Amar's purchase ran in multiple trades between $3.60 and $3.61, with $3.60 as the reported weighted average. It landed inside the stock's own trading range that day, which ran from $3.40 to $3.69. Afterward, he held 1,699,885 shares directly.
He also holds shares indirectly through three entities: 626,544 through Bit Mining International LLC, 2,165,889 through Bit.Management LLC, and 1,493,162 through NYAM LLC. Combined with his direct stake, that puts his total common stock position at close to 6 million shares. Separately, he holds 515,000 fully vested options at a $1.50 exercise price and 900,000 at $3.53, plus restricted stock units scheduled to vest between November 2026 and February 2027.
What Digi Power X's second quarter showed
Revenue came in at $6.6 million for the quarter, and the net loss was $14.4 million. The company booked its first AI compute revenue, about $1.1 million from five weeks of GPU rental. Cash stood at $142.4 million as of June 30, and adjusted EBITDA turned positive at $3.3 million, up from $0.1 million a year earlier. Digi Power X also disclosed $1.1 billion of contracted AI data center revenue, with an option that could push the total contract value to $2.5 billion.
For 2027, the company is targeting an annualized revenue run rate of $250 million to $300 million by the third quarter, with $140 million of that already tied to existing customer contracts. "With approximately $150 million of cash today, no debt and a growing portfolio of AI infrastructure and power assets, we believe we have established a strong financial foundation from which to execute our growth strategy. Our priority remains execution - delivering Alabama on schedule, scaling our GPU compute platform and developing the power-secured sites that can drive our growth in 2027 and beyond," Amar said in the earnings release.
