OpenAI doesn't have a stock ticker. The ChatGPT maker is privately held, so no exchange lists its shares. On June 8, 2026, OpenAI said it had recently submitted a confidential S-1 to the Securities and Exchange Commission, but it hasn't set a date for an initial public offering.
The company said in its statement: "We have not decided on timing yet; it may be a while because there are things we want to do that are likely easier as a private company."
OpenAI's leaders point to 2027
Chief executive Sam Altman told Fortune the company won't go public in 2026. "I would say not 2026," he said in an interview published September 12, calling the present "an ill-advised moment to go public" because of what is happening with AI safety.
Chief financial officer Sarah Friar told employees at an all-hands meeting on August 19 that OpenAI "will be a public company in 2027," according to CNBC. She said the company could list sooner if "our business continues to inflect."
Under SEC staff procedures, a company that files confidentially must make its registration statement public at least 15 days before its roadshow. The public filing should provide more detail on OpenAI's finances and ownership. The offering size, price range, and ticker may appear in later amendments.
OpenAI's last funding round valued it at $852 billion
OpenAI completed a deal to raise $122 billion at an $852 billion valuation, Bloomberg reported on April 1. Amazon agreed to invest $50 billion in the round, and Nvidia and SoftBank each put in $30 billion.
SoftBank sold bonds paying as much as 9.75% a year to help fund its OpenAI investment, as we reported.
Microsoft and Amazon own large stakes in OpenAI
Several public companies hold stakes in OpenAI. Owning their shares isn't the same as owning OpenAI, since each stock moves on far more than one investment.
Microsoft (MSFT) held an investment in OpenAI Group PBC valued at about $135 billion, roughly 27% on an as-converted diluted basis, after OpenAI's recapitalization in October 2025, Microsoft said. That figure predates OpenAI's 2026 funding round.
Amazon (AMZN) invested $15.0 billion in OpenAI Series C preferred stock in the first quarter of 2026 and agreed to buy $35.0 billion more, according to its quarterly filing. It invested $13.7 billion of that commitment in the second quarter and the remaining $21.3 billion after June 30, the filing says.
If OpenAI goes public, Amazon's Series C preferred stock would convert to common stock. Amazon said it expects to be subject to "a customary lock-up period following an IPO."
What comes next
OpenAI shares remain privately traded until the company begins trading on an exchange. The next official milestone is the public registration statement. The record below logs each step with its source, and the Anthropic stock page covers the rival AI lab's listing, which is further along.
